We seek to cultivate a senior leadership team that represents diverse backgrounds, both in terms of relevant professional experience and demographic profile. We have recently gone through a process of board refreshment, with a key focus on increasing diversity. Sixty seven percent of our board identifies as diverse based on gender or race/ethnicity. The Nominating and Corporate Governance Committee, and the board as a whole, broadly construe diversity to mean not only diversity of race, gender, ethnicity, and age, but also diversity of opinions, perspectives, and professional and personal experiences.įive of our six directors are independent according to the listing standards of the New York Stock Exchange (NYSE). The Nominating and Corporate Governance Committee regularly reviews, monitors, and advises on ESG policies, including those related to diversity, equity, and inclusion (DEI) and public policy initiatives. In 2021, our Board of Directors formalized the Nominating and Corporate Governance Committee’s oversight responsibility for activities, initiatives, and policies regarding ESG matters.
